DEALER TERMS & CONDITIONS
Dealer Qualifications:
Gill North America (“Gill”) defines a dealer as a recognized business who sells Gill products for resale, presenting an offer that is current online and/or in store, and meeting annual company growth targets. A completed dealer application is required prior to acceptance of first order.
Terms of Payments:
New accounts will be prepaid until credit terms have been approved. A dealer who is not in good standing with Gill due to non-payment will be subject to suspension or cancellation of all dealer privileges. ACH and wire transfers are the preferred methods of payment. We do not accept credit cards for pre-booking orders. We reserve the right to charge a 4% surcharge for credit card payments, where permitted by law. We reserve the right to charge a 1.5% interest late fee for balances over 30 days past due. Any account 60 days or greater past due may be placed on hold status until payment is received. Invoice error inquiries must be sent to finance@gillna.com within 15 days of the invoice date.
Orders:
Dealers are expected to place orders online through the Gill B2B. If you do not have access, contact support@gillna.com.
Backorders:
Our policy is to ship backorders as soon as possible. If a dealer does not require backorders, this must be stated on each order. If we are not able to complete the order within 90 days, we will inform you by email.
Prices:
All prices are subject to change without prior notice, excluding items on back order.
Drop Shipments:
Dropship is by prior written agreement only. Gill reserves the right to add an additional charge for drop shipments. All dropships are to be insured by the dealer and the dealer is responsible to settle a customer claim.
Claims:
Delivery damages or non-delivery should be reported within 48 hours of expected delivery. In all cases, the dealer must keep the damaged merchandise and packaging to support the claim. Shortages must be reported within 7 days from the date of invoice. If Gill determines that the items were delivered, then the dealer must pay for these items. All inquires should be sent to support@gillna.com.
Refused Shipments:
Shipments refused and returned without prior approval will be charged freight both ways plus a 15% restocking fee.
Return/ Exchange Policy:
No merchandise will be accepted for return without approval from Gill Management. A return authorization number will be created and a 15% restocking fee may be added to returns.
The Gill Guarantee:
Gill guarantees all its products against the lifetime of the product for defects in material and workmanship. Normal wear and tear is not considered a viable claim. Should there be an issue, email support@gillna.com. Gill will request photos for inspection. If found to be defective, Gill will either repair or replace a similar product.
Unilateral Policy Regarding Minimum Advertised Pricing (“MAP”) Policy:
To protect the Gill brand, we have adopted a MAP policy, which is based on the Manufactures Suggested Retail Price (MSRP). If there is no MAP Break a Gill dealer is not permitted to advertise current model year Gill products for less than MSRP or have a graphic or text description implying a discount less than MSRP. This policy applies without limitation to e-mail blasts, flyers, posters, coupons, mailers, inserts, newspapers, magazines, websites, T.V, forum posts, blogs, catalogs, advertising media, private offers and any other electronic linking including the shopping cart, bounce back pricing emails, and pre-formatted e-mail responses.
Gill MAP Break Policy allows short duration sales events. The 2026 MAP Policy will be distribued by Decmeber 1st, 2025. Dealers can offer incentives such as a free gift with purchase, free freight, and even state “the lowest prices ” so long as the dealer does not advertise below MAP. When MAP prices change annually, the dealer will make every attempt to update within (3) business days. Gill will make every attempt to notify dealers when products transition to clearance / DSQ status and are no longer under MAP policy. All clearance /DSQ cadence product must be clearly marked as clearance.
This policy only concerns the advertised prices and does not relate to the actual sales price of an item. This advertised price policy only applies to dealers located in the United States of America. Violations of this agreement may result in any or all the following unilateral action: removal from the dealer locator, can affect dealership standing with Gill NA, loss of discount, cancellation of orders, and legal actions pursuant to U.S. trademark law at our discretion.
3rd party platform retailer criteria:
Gill recognizes the importance of maintaining a clean and viable distribution policy and has chosen to work with a limited number of key market leaders for 3rd party selling. Any other dealer is not permissible to sell on any 3rd party reseller platform. Examples: Amazon, Ebay, Walmart, Target, Tmall, Sears, Etc.
